Terms of service

1. The agreement

These terms are between NeoForge Labs Ltd (“we”, “us”) and the person or organisation using Domus (“you”). By creating an account or using Domus you agree to them. If you use Domus for an organisation, you confirm you’re authorised to accept them on its behalf.

2. The service, and early access

Domus is software for managing rental property in Kenya: rent invoicing and collection, receipts, leases, maintenance, reports and KRA compliance tools. During early access, features are still being added and may change, and the service is provided without service-level commitments.

3. Your account

You’re responsible for the people you invite to your organisation, for what they do in Domus, and for keeping login details secure. Tell us promptly at privacy@neoforgelabs.tech if you suspect unauthorised access.

4. Tax compliance stays your responsibility

Domus helps you issue eTIMS receipts and prepare rental income tax returns from the data you enter and the payments you collect. We are not a tax agent and nothing in Domus is tax advice. You remain responsible for your tax obligations, for the accuracy of your data and KRA details, and for checking filings before you submit them. Where a figure depends on a tax rule, we show the rule we used; if in doubt, confirm it with a KRA-registered tax agent.

5. Payments

• Rent paid by M-Pesa goes directly to your own Paybill or Till. We don’t hold it.
• Card payments are processed by Paystack. Until per-landlord settlement is available, card payments may settle to NeoForge Labs Ltd, and we pass them on to you less Paystack’s fees.
• We are not a bank and don’t pay interest on any funds.

6. Fees

Our fees are on the pricing page. We’ll tell you how and when you’ll be billed before we first charge you, and give you at least 30 days’ notice of any price change. Prices exclude VAT, which we’ll add where it applies.

7. Your data

Your data is yours. For your tenants’ personal data you are the data controller and we process it on your instructions, as described in our privacy policy. You’re responsible for having a lawful basis to collect it and for telling your tenants how it’s used. You can export your data at any time.

8. Acceptable use

Don’t use Domus to:

• break the law, or collect data you’re not entitled to;
• send messages tenants haven’t agreed to receive, or harass anyone;
• probe, disrupt or overload the service, or access other organisations’ data;
• resell the service without our written agreement.

9. Our intellectual property

We own Domus and its software, design and content. These terms give you the right to use it; they don’t transfer ownership.

10. Liability

We work hard to keep Domus accurate and available, but we can’t promise it will be uninterrupted or error-free. To the extent the law allows, we aren’t liable for indirect or consequential losses (such as lost profits), and our total liability to you is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow us to limit.

11. Suspension and ending the agreement

You can stop using Domus at any time. We may suspend or close an account that breaks these terms or doesn’t pay, after notice where that’s reasonable. When an account closes you’ll have 30 days to export your data, after which we delete it unless the law requires us to keep it.

12. Changes to these terms

We’ll give account holders notice of material changes before they take effect. Continuing to use Domus after that means you accept them.

13. Law and disputes

These terms are governed by the laws of Kenya, and the courts of Kenya have jurisdiction.
